SWEEPSTAKES OFFICIAL RULES

Sponsored by Poplin Technologies, Inc. (“Sponsor”).

THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH TRUST PILOT, APPLE APP STORE OR GOOGLE PLAY STORE.

NO PURCHASE OR OBLIGATION NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR WHERE RESTRICTED BY LAW.

The Poplin Sweepstakes (the “Sweepstakes”) begins the 1st of every month at 12:00 AM ET and ends on the last day of each month at 11:59 PM ET (the “Entry Period”). Sponsor’s computer is the official clock for all matters related to this Sweepstakes.

Agreement to Official Rules. By entering or participating in the Sweepstakes, you accept and agree to be bound by these “Official Rules.”

Eligibility. The Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia who have used the Sponsor’s services for less than one (1) year as of the date of entry, who are eighteen (18) or older at the time of entry (or age of majority in their jurisdiction of residence, whichever is older). Any individuals (including but not limited to employees, consultants, independent contractors and interns) who have, within the past six (6) months, performed services for Sponsor, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes and/or their respective parent, subsidiary, affiliated and successor companies (collectively, the “Sweepstakes Entities”), and immediate family and household members of such individuals, are not eligible to enter the Sweepstakes. For the purposes of these Official Rules “Immediate family members” mean parents, step-parents, children, step-children, siblings, step-siblings or spouses, regardless of where they live; and “Household members” mean people who share the same residence at least three (3) months a year, whether related or not.

How to Enter. You may enter the Sweepstakes during the Entry Period as follows:

To enter online, you must post one (1) review on Trust Pilot and the Google Play store (for Android users) or the Apple App Store (for iPhone users) sharing your most recent experience using the Sponsor’s services. Your review must include the hashtag #PoplinSweepstakes and the name linked to your Poplin account in the body of the review to be eligible. Your review must be truthful and reflect your genuine experience. Whether positive or negative, your review will not affect your chances of winning. Only one (1) entry will be accepted per person; leaving multiple reviews on the same platform will not increase your chances of winning.

Mail-in entries must be postmarked by the entry deadline and be received within seven (7) days of the end of the Entry Period.

LIMIT ONE (1) ENTRY PER PERSON IS PERMITTED, REGARDLESS OF ENTRY METHOD. Subsequent attempts made by the same individual to submit entries in excess of the above-stated limit by using multiple email addresses or similar means are void. Entries that are fraudulent, forged, altered, incomplete, lost, late, misdirected, mutilated, illegitimate, incomprehensible, garbled or generated by a macro, bot, script or other automated means will not be accepted and will also be void. Entrants violating any of these Official Rules may be disqualified. All entries become property of Sponsor, and none will be acknowledged or returned. Proof of submission of entry does not constitute proof of receipt of same. By entering this Sweepstakes, entrants agree the decisions of the Sponsor are binding and final in all matters relating to this Sweepstakes.

Prize Drawing/ Selection of Winner/Odds.

Random Winners. One potential winner will be selected from all eligible entries received meeting the requirements of these Official Rules in a random drawing to be held on or around seven (7) days following the end of the Entry Period (“Random Winners”). The drawing will be conducted either by independent persons or a computer program that randomly chooses the Random Winners from all eligible entries received and the random selection is binding and final. The odds of winning depend on the total number of eligible entries received during the Entry Period.

Creative Review Winners. One potential winner will be selected by Sponsor from all eligible reviews received, and which otherwise meet the requirements of these Official Rules, based on the criteria below (“Creative Winners”). The odds of winning depend on the total number of eligible entries received during the Entry Period and will be judged on the following criteria:

• 40% Insightfulness: How much does your review inform people about the Sponsor’s services?

• 30% Creativity: How well does your review express artistic creativity?

• 30% Interesting: How engaging is your review?

Prizes. The prizes to be awarded from the Sweepstakes are as follows:

One (1) Random Winner: One hundred dollar ($100) Poplin gift certificate with an approximate retail value (“ARV”) $100 (USD) per Winner.

One (1) Creative Winner: One hundred dollar ($100) Poplin gift certificate with an ARV $100 (USD) per Winner.

Total ARV of all prizes to be awarded: $200 (USD). The ARV for each of the prizes are estimates made before the Sweepstakes begins. Any difference between an ARV and the actual cost of a prize will not be awarded.

The prizes are not redeemable for cash or transferable. Except as set forth in these Official Rules and at Sponsor’s sole discretion, a prize of comparable or equal value may be provided. No further substitutions will be allowed. Prize elements may not be separated and tickets, vouchers and gift cards will not be replaced if lost, mutilated or stolen. Tickets, vouchers and gift cards are subject to terms and conditions thereon. Winners are solely responsible for any and all federal, state, provincial and local taxes, if any, that apply to prizes. You agree to provide Sponsor with any additional information and complete any required tax or other forms relating to your receipt of a prize. Allow six (6) to eight (8) weeks for the delivery of prizes. Without limiting any other terms of these Official Rules, the prizes are provided as-is, without any warranty, representation or guarantee (express or implied, in fact or in law, whether now known or hereinafter enacted) relative to the use or enjoyment of the prizes, including, without limitation, their quality, merchantability or fitness for a particular purpose. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes promotional materials and the terms and conditions of these Official Rules, these Official Rules will prevail and govern.

Notification of Winners. Winners will be notified by email or through the applicable review platform within five (5) business days of the prize drawing and must sign and return any required affidavit of eligibility and publicity/liability release. If a selected Winner cannot be contacted, is ineligible, fails to claim a prize and/or an affidavit of eligibility and publicity/liability release is incomplete, modified or is not received within the number of days specified in the notification or thirty (30) days after such notification, whichever comes first, the prize may be forfeited and an alternate Winner may be selected from remaining valid, eligible entries timely submitted. In the event of a dispute regarding the identity of any entrant, the entry will be deemed submitted by the natural person who is the Authorized Account Holder of the email address specified in the entry. For the purposes of these Official Rules “Authorized Account Holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

Limitation of Liability.

BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW: (I) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED IN PARTICIPATING IN THE SWEEPSTAKES (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (II) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (c) ENTRANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

The Sweepstakes Entities are not responsible and/or liable for any of the following, whether caused by a Sweepstakes Entity, the entrant, or by human error:

• entries that are submitted by illegitimate means (such as, without limitation, by an automated computer program) or entries in excess of any stated limit;

• any lost, late, incomplete, illegible, unintelligible, garbled, mutilated or misdirected entry, email, mail or Sweepstakes-related correspondence or materials or postage-due mail;

• any error, omission, interruption, defect or delay in transmission or communication;

• viruses or technical or mechanical malfunctions;

• interrupted or unavailable cable or satellite systems;

• errors, typos or misprints in these Official Rules, any Sweepstakes-related advertisements or other materials;

• failures of electronic equipment, computer hardware or software;

• lost or unavailable network connections or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or entry information; or

• any human or mechanical interference in the administration of the Sweepstakes or the processing of entries.

The Sweepstakes Entities are also not responsible for electronic communications that are undeliverable or do not reach entrant as a result of any form of active or passive filtering of any kind or insufficient space in a potential Winner’s email or voicemail inbox, or if entrant’s email address or other contact information does not work or is changed without prior written notice to Sponsor that is acknowledged by Sponsor in writing.

Release and Indemnity. By entering the Sweepstakes, each entrant agrees to release, indemnify and hold each of the Sweepstakes Entities, as well as each of their respective officers, directors, employees, agents and representatives and each of their respective successors, representatives and assigns, as well as Trust Pilot, Apple, and Google, harmless from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes or any Sweepstakes-related activity or travel, and/or acceptance, receipt, possession or use/misuse of a prize, including without limitation, any injury, damage, death, illness, loss or accident to/of persons or property.

Additional Conditions. Sponsor reserves the right, in its sole discretion, to terminate, modify or suspend the Sweepstakes in whole or in part, if in Sponsor’s opinion:

(i) the Sweepstakes is not capable of running as planned by reason of the occurrence of any event beyond its control including, but not limited to, fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications, equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal, state, local or provincial government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control; or

(ii) any other factors beyond Sponsor’s reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, in all instances without liability to the entrants.

Sponsor also reserves the right to disqualify any entrant or Winner, as determined by Sponsor, in its sole discretion.

Governing Law and Choice of Forum. These Official Rules are governed by the law of the [State of New York], without reference to rules governing choice of laws. Any action, suit or case arising out of, or in connection with, this Sweepstakes or these Official Rules must be brought in either the federal courts located in the [Southern District of New York] or the state courts located in [New York County, New York].

Publicity. Except where prohibited, by participating in the Sweepstakes, the Winners consent to the use of their names, account name, photos and/or likenesses, biographical information, entry and statements attributed to Winners (if true) for advertising and promotional purposes, including without limitation, inclusion in Sponsor’s newsletters, Sponsor’s official social media accounts and Sponsor’s homepages at www.poplin.co, without additional compensation.

Personal Information. Sponsor may collect personal data about entrants online, in accordance with its privacy policy and as may be more specifically set forth in these Official Rules. Please review these Official Rules and Sponsor’s privacy notice at https://Poplin.co/privacy-policy.

Winner List. For the names of the prize Winners, once they have become available, send your request and a stamped, self-addressed envelope to:
